Terms of Service

Welcome to Fika AI (the “Marketplace”), accessible at www.joinfika.ai. Fika AI is owned and operated by P. Dubois Consult and Investment AB (Organization Number: 556520-9235). These Terms of Service (“Terms”) govern your access to and use of the Marketplace and the services we provide.

By creating an account (as a Candidate or Employer) or otherwise accessing or using the Marketplace, you (“User”) agree to be bound by these Terms. If you do not agree to all the Terms, please discontinue use.

Please read these Terms carefully before using our services.

1. Acceptance of Terms

By registering on or otherwise using the Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

2. Eligibility

Our services are intended for individuals who are at least 16 years old. By using the Marketplace, you represent and warrant that you meet these requirements.

3. Definitions

• Candidate: An individual who registers on the Marketplace seeking employment or other opportunities.
• Employer: Any company, organization, entity, or an authorized representative thereof that uses the Marketplace to find, evaluate, or hire Candidates. This definition includes recruiters, staffing agencies, RPO providers, or any third-party representative acting on behalf of a different organization or client. Wherever these Terms say “Employer,” it applies equally to such third-party recruiters or agencies.
• User Content: Any content (e.g., resumes, videos, text, images) submitted by a User to the Marketplace.
• Fika AI (“we,” “us,” or “our”): The entity operating the Marketplace, owned and managed by P. Dubois Consult and Investment AB.
• Marketplace: The online platform accessible at www.joinfika.ai, where Candidates and Employers connect for recruitment purposes.

4. Compliance with Laws

Users agree to comply with all applicable local, national, and international laws, regulations, and guidelines in connection with their use of the Marketplace, including but not limited to employment laws, data protection laws, anti-discrimination laws, and export control regulations.

5. User Accounts

Registration

To access certain features of our Marketplace, Candidates must create an account by providing accurate and complete information. Employers must also create an account and are bound by these Terms upon account creation.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Account Termination

Fika AI reserves the right to suspend or terminate your account at our discretion, including for violations of these Terms.

6. Employer Representative Responsibilities

Authorized Representative Warranty

By creating an Employer account on the Marketplace, any individual (e.g., employee, recruiter, agent) acting on behalf of an organization or third party represents and warrants that they are duly authorized to bind that organization to these Terms.

Employer Representative Responsibilities

• They have the necessary authority and legal power from their organization (or from themselves, if they are an independent recruiter) to use the Marketplace and enter into agreements under these Terms.
• They will use the Marketplace in a manner consistent with the interests and policies of the represented organization, if any.
• They are responsible for any actions taken on the Marketplace under their account, including compliance with all applicable laws and non-discrimination policies.

7. AI-Conducted Interviews

• Consent to AI Interviews: By using our services, you agree to participate in interviews conducted by an artificial intelligence (AI) system, if applicable.
• Understanding AI Nature: You acknowledge that the interview is conducted by AI and accept its potential limitations.
• Potential for Errors: You agree that the AI may make mistakes or produce outputs that are inaccurate or inappropriate.
• No Responsibility for AI Outputs: Fika AI is not responsible for any errors, omissions, or outcomes resulting from the AI interview process.
• No Automated Decision-Making: Fika AI does not use AI for automated decision-making that produces legal effects concerning any User or significantly affects them similarly. Fika AI is solely an intermediary providing information and tools for Employers to make their own decisions. Recruitment decisions are made solely by and remain the responsibility of the Employer.

8. Data Sharing and Communication

Permission to Share Data

• As a Candidate, you agree Fika AI may share your profile and personal data (including CV, contact details, and AI interview data) with Employers and potentially with external entities for recruitment purposes.
• As an Employer, you agree that any Candidate data you obtain through the Marketplace will be used solely for legitimate recruitment and hiring purposes, in compliance with all applicable laws and regulations.
• Fika AI may share Employer data (e.g., name, logo, company description) with Candidates on and outside the Marketplace for recruiting purposes and may use Employer names/logos on our website for marketing.

Consent to Communication

All Users agree that Fika AI may contact them via email, SMS, or phone regarding recruiting purposes, employment opportunities, feedback requests, employer branding, service updates, or any other relevant purpose.

Email Introductions: As part of our recruiting services, Fika AI may introduce Candidates and Employers to each other via email (or other direct communications). By using the Marketplace, you consent to receiving or sending such introductions and to the sharing of any relevant details necessary for the introduction.

9. Payment Terms

1. Fee Per Hire: Whenever an Employer hires a Candidate introduced or sourced via Fika AI, a fee of 20,000 SEK (excluding VAT) applies for each hire.
   Note for Recruiters/Agencies: If your client (the ultimate hiring entity) hires a Candidate introduced or sourced via Fika AI, youremain responsible for the fee, regardless of internal arrangements with your client.
2. Notification of Hiring: Both the Candidate and the Employer must report to Fika AI once an employment agreement (or other direct working relationship) has been signed. Notification must be made either on the Marketplace or by emailing team@joinfika.ai.
3. Invoice and Due Date: Fika AI issues an invoice after the Employer and Candidate sign an employment agreement. Payment is due within 30 days of the invoice date. Overdue amounts incur late interest at the maximum rate permissible by law.

10. Employment Responsibilities

1. Direct Employment Obligations

If you (the Employer) hire a Candidate for your own organization, you are solely responsible for all employment-related obligations, including but not limited to wages, payroll taxes, insurance, and employee benefits.

2. Recruiters and Staffing Agencies

• Client’s Obligations: If you are a recruiter or staffing agency using the Marketplace on behalf of a third-party client, that client (as the ultimate hiring entity) is responsible for all employment-related obligations under applicable law.
• Your Ongoing Responsibility: Your obligation to pay Fika AI’s fees and to comply with these Terms remains in effect regardless of your client’s status or actions. Nothing in this subsection absolves you of any other liabilities or responsibilities set forth in these Terms.

3. Fika AI as an Intermediary

Fika AI acts solely as an intermediary providing a platform and tools to connect Candidates and Employers. Under no circumstances shall Fika AI be considered an employer or co-employer of any Candidate. The Employer (or its client, if the Employer is a recruiter/staffing agency) bears all responsibility for compliance with labor, employment, and related laws.

11. User Conduct and Additional Disclaimers

User Conduct

All Users agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations.
• Providing false, misleading, or incomplete information during registration or in posted content.
• Uploading or posting unlawful, harmful, or defamatory content.
• Attempting to interfere with Marketplace security or integrity, including unauthorized access to other accounts or data.
• Posting job openings or other materials that are discriminatory, deceptive, or violate employment laws.
• Data Extraction: No one may scrape or copy data from the Marketplace except for their own information; automated or manual data-scraping is prohibited.

11.1 Accuracy of Profiles

Fika AI does not verify the accuracy of any content (e.g., resumes, job postings). Information provided on the Marketplace is the sole responsibility of the party providing it.

11.2 No Guarantee of Employment Outcomes

Fika AI provides a platform for recruitment but does not guarantee job offers, successful hires, or suitability of Candidates. Hiring decisions remain the Employer’s responsibility.

11.3 Equal Opportunity and Non-Discrimination

Employers must comply with all equal opportunity, anti-discrimination, and harassment laws. Fika AI is not liable for discriminatory actions by Employers. We reserve the right to suspend accounts that violate non-discrimination policies. Employers remain responsible for interpreting AI outputs in a fair, non-discriminatory manner.

12. Non-Circumvention

Scope

Candidates and Employers agree not to circumvent or bypass Fika AI in any manner that avoids payment of fees due under these Terms.

Restrictions

• An Employer may not hire or engage a Candidate introduced or sourced via Fika AI without paying the applicable fee.
• A Candidate may not work, directly or indirectly, for an Employer introduced through Fika AI outside of Fika AI’s fee structure.

Termination and Fees

If Fika AI discovers any form of non-circumvention, we may terminate the offending account immediately, and the Employer will be liable for a fee equal to twice the amount Fika AI would have received otherwise.

13. Intellectual Property and User-Generated Content

13.1 Ownership of Marketplace Content

All non-user-generated content on the Marketplace (text, graphics, etc.) is owned by Fika AI or its licensors and is protected by law.

13.2 Ownership of User Content

By uploading or submitting any content, you retain ownership of intellectual property rights in that content.

13.3 License Grant

You grant Fika AI a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content for:

• Operating the Marketplace
• Providing services
• Marketing your content to potential Employers or Candidates
• Promoting and redistributing part or all of the Marketplace

13.4 Representations and Warranties

You warrant that you have the necessary rights to grant Fika AI the above license and that your content does not violate any laws or third-party rights.

13.5 Content Standards

User Content must not be unlawful, defamatory, obscene, harassing, or otherwise objectionable. Fika AI may remove or modify any User Content that violates these Terms.

13.6 Feedback

Any suggestions or feedback you provide regarding the Marketplace are deemed non-confidential, and Fika AI may use them without restriction.

14. Dispute Resolution

14.1 Arbitration Agreement

You and Fika AI agree to settle any disputes by binding arbitration under the rules of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC).

Before arbitration, parties may attempt voluntary mediation. Arbitration will occur in Stockholm, Sweden, in English, unless otherwise agreed. The arbitrator’s decision is final.

14.2 Exceptions

Either party may seek relief in a small claims court for disputes within the scope of that court’s jurisdiction. Nothing in these Terms prevents either party from seeking injunctive relief or other equitable remedies for intellectual property or unauthorized access issues.

14.3 Waiver of Jury Trial

You and Fika AI expressly waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Sweden, without regard to its conflict of law provisions. Subject to the arbitration agreement above, any legal actions or proceedings arising out of or relating to these Terms shall be exclusively brought in the courts located in Stockholm, Sweden.

16. Limitation of Liability

• AI Outputs: Fika AI does not guarantee the accuracy or suitability of AI-generated content.
• Service Availability: Fika AI does not guarantee uninterrupted Marketplace operation.
• No Guarantee of Employment: Fika AI is not responsible for hiring outcomes.
• Limitation of Liability: To the extent permitted by law, Fika AI is not liable for indirect or consequential damages. Hiring decisions are the Employer’s sole responsibility.

17. Indemnification

You agree to indemnify and hold harmless Fika AI against any claims or losses arising from your use of the Marketplace or violation of these Terms.

18. Modification of Terms

Fika AI may modify these Terms at any time by posting updated Terms on the Marketplace. Your continued use following such posting constitutes acceptance of the updated Terms.

19. Termination and Suspension

19.1 Termination by You

You may terminate your account at any time by emailing team@joinfika.ai.

19.2 Termination by Us

Fika AI may suspend or terminate your access at its discretion, including for violations of these Terms.

19.3 Effect of Termination

Upon termination, your right to use the Marketplace and services ceases immediately.

20. Notices

Fika AI may provide notices via email, mail, or Marketplace postings. You consent to receive communications electronically.

21. Entire Agreement

These Terms constitute the entire agreement between you and Fika AI regarding the Marketplace and supersede any prior agreements.

22. Severability

If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
